According to the announcement, the total consideration for 100% of Lifeng Culture was determined to be 647 million yuan, and the price of Jinlixiang 99% shares was 240 million yuan. Liard will conduct transactions in the form of cash payment and issuance of shares. After the transaction is completed, the former will hold 100% equity of Lifeng Culture and hold 99% equity of Jinlixiang.
At the same time, the listed company's total asset size, net asset size, income scale, net profit level, and basic earnings per share have increased significantly.
Time reverted back to January 2015, Liard acquired Lifeng Culture for 650 million yuan and Jin Lixiang for 240 million yuan. Among them, Lifeng Culture's 2015 performance commitment was 54 million yuan, and Jin Lixiang's 2015 performance commitment was 19 million yuan. This acquisition is another important progress in the company's expansion of its business areas and channels. Through this transaction, Liard can expand the business to the research and development of high-end cultural performing arts equipment and LED stage equipment rental, and also form synergy with the company's own LED display, and realize the extension of downstream channels.
